EULA

This End User License Agreement ("Agreement") governs your installation and use of any software, application, utility, or digital tool ("Software") provided by Bloom Innovation LLC ("we," "our," or "us"). By downloading, installing, accessing, or using the Software, you confirm that you have read and accepted this Agreement in full. If you do not accept these terms, you must refrain from installing or using the Software in any way.

This Agreement applies to all software products and digital solutions developed or distributed by us, unless a specific tool or product is governed by a separate license. Where such additional terms exist, they will take precedence over this EULA.

Intellectual Property Rights

All rights, titles, and interests in the Software, including but not limited to its source code, design, trademarks, documentation, and underlying technologies, remain solely with Bloom Innovation LLC or its licensors. Your use of the Software does not grant you any rights to our intellectual property, branding, or proprietary materials.

License Grant

We provide you with a limited, non-transferable, non-sublicensable, revocable, and non-exclusive license to install and use our Software on your personal device(s), strictly for non-commercial, private use, in accordance with this Agreement. You are not authorized to:

1. Resell, lease, license, sublicense, or distribute the Software to others;
2. Modify, decode, translate, decompile, or disassemble any part of the Software;
3. Copy or reproduce the Software beyond what is allowed by applicable laws;
4. Use the Software to create competing or derivative products;
5. Claim ownership of the Software or any of its components.

Restrictions on Use

You agree not to use the Software in any way that:

1. Facilitates or engages in illegal or unauthorized activity;
2. Promotes phishing, impersonation, or fraud;
3. Uploads or shares content that is illegal, offensive, or harmful;
4. Misuses credit card or financial information;
5. Interferes with the performance or integrity of the Software or its services;
6. Employs automation tools (e.g., bots or scripts) to manipulate the Software;
7. Gains unauthorized access to networks, systems, or other user data;
8. Violates any law or regulation.

Violating these terms may result in immediate suspension or termination of access without prior notice.

Software Updates

We may periodically issue updates, upgrades, or patches to improve functionality or security. By continuing to use the Software after such updates, you agree to the updated terms unless explicitly stated otherwise.

Disclaimer of Warranties

The Software is offered on an “as-is” and “as-available” basis. We make no guarantees—express or implied—about the Software’s performance, stability, or compatibility. We do not guarantee that the Software will:

1. Operate uninterrupted or without errors;
2. Be secure or free of bugs, viruses, or malware;
3. Work on all devices or under all configurations;
4. Meet your expectations or specific requirements.

To the fullest extent permitted by law, Bloom Innovation LLC disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liabilities

To the maximum extent allowed by law, Bloom Innovation LLC and its affiliates, officers, employees, agents, contractors, partners, licensors, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from:

• The use or inability to use the Software;
• Data loss or system failure;
• Unauthorized access or data breach;
• Interruption or termination of service;
• Any other matter related to the Software.

Indemnification

You agree to indemnify, defend, and hold harmless Bloom Innovation LLC, its subsidiaries, affiliates, directors, officers, employees, contractors, licensors, and service providers from and against any and all claims, demands, liabilities, damages, losses, or expenses, including reasonable legal and attorney fees, resulting from:

• Your breach of this Agreement;
• Your misuse or unauthorized use of the Software;
• Any third-party claims arising from your actions or content shared through the Software;
• Any violation of law, regulation, or third-party rights caused by your use of the Software.

Termination

This Agreement will remain in effect until terminated by either you or us.

You may terminate this Agreement at any time by deleting all copies of the Software from your devices. We reserve the right to revoke your license and terminate this Agreement at our discretion, especially if any terms are breached.

Jurisdiction and Governing Law

This Agreement will be governed by and interpreted in accordance with the laws of Georgia, without reference to conflict of law rules.

If any provision is found unenforceable by a competent court, the remainder of the Agreement shall remain valid and enforceable.
